Terms of Service

These terms govern the LinesFlow document-processing and accounting integration service supplied by Linesflow Ltd, trading as LinesFlow (“we”). They form a business-to-business agreement with the account owner (“you”).

1. Who may use LinesFlow

LinesFlow is for accounting connected with a trade, business, craft, profession, charity, or other organisation. You may use it for your own business—including as a self-employed person or sole trader—or for clients that have authorised you. It is not a personal household-finance service. If you act for an organisation or client, you confirm you have authority to do so and to accept these terms.

2. Accounts and authorised users

Keep login methods secure and provide accurate account details. The account owner is responsible for authorised users, permissions, and activity carried out through the account. Do not share a personal login; use supported access controls. Tell us promptly about suspected unauthorised access.

3. The service and human review

LinesFlow extracts accounting data and can publish reviewed records to a connected platform. Extraction uses automated systems and may be incomplete or wrong. You remain responsible for checking source documents, tax treatment, ledger coding, duplicates, totals, and the final posting. LinesFlow does not provide accounting, tax, or legal advice and does not replace the records you are required to keep.

4. Plans, allowances and charges

Plans carry a document allowance for each billing period: Starter 250 documents a month, Business 500 documents a month, or a bespoke volume by arrangement. Starter includes a 30-day free trial. The allowance resets at the start of each billing period, which runs from the date the subscription started rather than from the first of the calendar month.

A short grace allowance sits above the plan allowance — 25 on Starter, 50 on Business — so that a spike at month end does not stop work. Documents in the grace allowance are included at no extra charge: there is no overage rate and no additional invoice for them. Once the grace allowance is used, posting is paused until the next billing period begins or the plan is upgraded.

Uploads, previews, failed attempts, and reconciliations that do not create a document do not consume the allowance. The allowance is counted per accounting document, not per posting: the same document sent to more than one accounting platform counts once, and retries or duplicate recovery of a document already counted do not count again.

The checkout or order page shows the applicable price, billing interval and taxes before purchase. Linesflow Ltd is not currently VAT registered, so no VAT is added and we do not issue VAT invoices.

Your usage-based billing arrangement renews for the billing interval shown at checkout until cancelled. Charges are based on recorded usage during that interval; there is no fixed monthly fee. You can cancel through the billing portal; cancellation takes effect at the end of the current billing interval unless the order states otherwise. See the billing and refund policy.

5. Customer data and privacy

You retain rights in customer data and instruct us to process it to provide, secure, support, and improve the contracted service. You must have a lawful basis to upload it and must not provide unnecessary special-category or criminal-offence data. The Data Processing Addendum applies when we process personal information on your behalf. Our Privacy Notice covers data for which we are controller.

Posted PDFs are kept for up to 7 days, temporary extraction cache entries for up to 48 hours, and abandoned drafts or failed queue items for up to 90 days. Export needed records promptly and keep your own legally sufficient archive.

6. Acceptable use and third-party services

Follow our Acceptable Use Policy. Accounting, identity, email, payment, and AI providers are separate services with their own terms. We are not responsible for their independent acts, but remain responsible for our processor obligations where they act as our sub-processors.

7. Availability, suspension, and termination

We use reasonable skill and care but do not promise uninterrupted or error-free operation. We may suspend access to address security, legal, non-payment, or serious acceptable-use risks and will give notice where reasonably possible. Either party may terminate for a material breach not remedied within 30 days, or immediately where remedy is impossible. You may stop using the free service or cancel a paid service at any time.

Our Service and Support Targets describe operational aims. They are not a contractual service-level agreement unless an order signed by both parties expressly incorporates them.

8. Liability

Nothing limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, breach of data-protection obligations to the extent it cannot lawfully be limited, or any other liability the law does not permit us to exclude. Subject to that, neither party is liable for indirect or consequential loss. Our aggregate liability arising in a 12-month period is limited to the greater of £1,000 and the fees paid or payable for the service in that period. These limits do not reduce your obligation to pay valid charges.

9. Changes and general terms

We may update the service and these terms. We will give reasonable advance notice of a material change that disadvantages customers, except where an urgent legal or security change is needed. If you do not accept such a change, you may cancel before it takes effect. Neither party may transfer this agreement without consent, except as part of a business reorganisation or sale with written notice. English law governs these terms and the courts of England and Wales have jurisdiction.
